The Wyoming Secretary of State files LLCs as Articles of Organization. The fee is $100, according to the Business Division's fee schedule. The Business Division page offers an online option on WyoBiz, and the FAQ says a business filed online is active immediately. The line-by-line fee table is on our Wyoming LLC cost page, and record searches are in the Wyoming business guide.
Can you start a Wyoming LLC online?
Yes. Use WyoBiz, the state's online business services site, to file the Articles of Organization. If you mail a paper filing instead, it is reviewed in the order received, and the state gives a maximum processing time of 15 business days.
Faster service is available for most documents, with some exclusions. It is priced high: $700 for next business day and $1,400 for the same business day. Given that online filing is instant, you will rarely need either.
Which name rules apply?
W.S. 17-29-108 requires the name to carry words such as limited liability company, LLC, L.L.C., limited company, LC or L.C. The forms also accept Ltd. liability company or limited liability co. The name must be distinguishable on the Secretary of State's records from other business names.
If you file online, the state's name statutes sheet warns that you must search for the singular and plural form of the name first. Do that before you pay. Our name availability guide shows how.
Want to hold a name? An LLC name reservation is $60, lasts 120 days, and is filed by mail with a check or money order.
Who acts as your registered agent?
The agent needs a street address in Wyoming and must be a Wyoming resident aged 18 or older, or an entity with an agency agreement. The company and the agent each keep an email address for service from the state. Read the Wyoming registered agent page before you pick one.
What do you do after you file?
Write an operating agreement. Then apply for an EIN. The state says the IRS issues the EIN and the Business Division does not collect it. Also check what permits your business needs. The FAQ points you to the Department of Revenue for sales and use tax and to the city clerk's office for local permits, depending on your business purpose.
What does the Wyoming annual report cost?
There is no franchise tax. The annual report carries a license tax of $60, or two tenths of one mill on each dollar of assets located and employed in Wyoming, whichever is more. A company with $300,000 or less in such assets pays $60.
The due date is the first day of the anniversary month of formation, and you may file up to 120 days early. Reminder emails go out 60, 30 and 10 days before. Online filing is not allowed once the fee tops $500.
What happens if you are late?
Wyoming has no late fee in the pages we read. Instead the entity is deemed delinquent on the second day of the month after the due date. If no report arrives within 60 days of the due date, the Secretary of State dissolves the entity administratively. You can reinstate only within two years of dissolution, and reinstating a dissolved LLC costs $100 for tax reasons or $350 when the cause was no registered agent. Our annual report deadline guide compares this with other states.
What is unusual about Wyoming?
The license tax grows with assets in the state, so the yearly bill is not a flat fee. A small company pays the minimum. Owners from other states often form here; read LLC for non-residents first, since your home state may ask you to register as well.
