How much does an LLC cost in Nevada?

Forming a Nevada LLC takes three state charges: $75 for the articles of organization, $150 for the initial list of managers or managing members and $200 for the State Business License. Each year after, the annual list ($150) and the license renewal ($200) come to $350.

Last updated

In Nevada the filing fee for an LLC's articles of organization is $75. But two more state charges come right after: the $150 initial list and the $200 State Business License. So the first year costs $425 in state fees, and each later year costs $350.

Nevada's yearly charges are list and license fees paid to the Secretary of State. For searching Nevada records, use our Nevada business entity search guide.

Where the $75 formation fee comes from

The $75 is set by the Nevada statute, NRS 86.561, as the fee for "filing the original articles of organization, or for registration of a foreign company." Check the current formation fee on the Secretary of State's forms and fees page before you pay. The list and license amounts below come from the statute and the Secretary of State's State Business License FAQ.

First year and each year after

Expedited service (24 hour, 2 hour and 1 hour) costs extra. Check the current prices on the Secretary of State's forms and fees page.

The FAQ is clear that the license is extra: "The State Business License Fee is in addition to the fees for the initial or annual list." That is why the yearly figure is $350 and not $150.

Registering an LLC from another state

The same statute line covers foreign LLCs. Registration of a foreign company is $75. After that, a foreign LLC files an initial and annual list at $150 each (NRS 86.5461) and pays the State Business License at $200. Its yearly cost matches a Nevada LLC's $350. Read foreign LLC registration to see when you need to register.

Costs the state does not set

  • Registered agent. Each Nevada LLC must keep one. If you do not use a person in Nevada, an agent service charges its own fee.
  • Legal or accounting help, if you choose it.
  • EIN. The IRS charges nothing. Its EIN page says "You never have to pay a fee for an EIN." Our EIN for an LLC page has more.
  • City and county business licences, which are separate from the State Business License.

What changes the Nevada total

Missing the anniversary month. A late annual list carries a $75 penalty. A late license fee carries $100. The list and license go in together, so filing them late adds both penalties, turning $350 into $525. Sources: NRS 86.272 and the State Business License FAQ.

Default. An LLC that does not file the list and pay the fee in time is in default. Getting back to active status means filing the list and paying all fees and penalties owed.

Officer changes. If a manager resigns and it is not on the annual or amended list, filing the resignation costs $75. An amended list within 60 days of the initial list is free. Source: NRS chapter 86.
