In Nebraska you form an LLC by submitting a Certificate of Organization to the Business Services Division of the Secretary of State. The fee is $100 when filed online through Document eDelivery and $110 in the office. The state says a limited liability company is formed by submitting that certificate for filing. Our Nebraska business guide covers record searches.
What does the filing cost, and when do you pay again?
The forms and fee page gives the numbers for a domestic LLC:
| Filing | Online | In office |
|---|---|---|
| Certificate of Organization | $100 | $110 |
| Statement of change, agent or office | $25 | $30 |
| Amended Certificate of Organization | $25 | $30 |
| Reserved name application | $30 | $30 |
The first-year state cost is $100 online. The report is biennial, so the next charge depends on the odd-numbered year, and we do not list a report fee because the pages we read do not give one. A foreign LLC pays $100 online plus $10 for the certificate. See foreign LLC registration.
How should you check the name?
Nebraska staff review names against existing records, and names cannot be the same as another name on file. Inquiries go in writing by fax, email or mail. The reply is a courtesy, not a guarantee, so the final decision comes after you file. Extra restrictions apply to words such as Bank, Trust, Olympic and Cooperative.
To hold a name, apply for a reservation for $30. It lasts 120 days. Use how to check LLC name availability and name reservation for the general steps.
Who can be the registered agent?
Nebraska wants a registered agent and registered office named in the formation documents. The agent can be a member or a designated third party who lives in Nebraska, or a corporation authorized to do business in the state. The agent's office must match the registered office, and both must be kept in Nebraska continuously. The rules are summarized in the Nebraska registered agent section of our state guide.
Wait on signs and letterhead until the company exists. The state warns that you risk losing that money if the name turns out to be unavailable on filing. Names are the most common reason formation documents are rejected.
How do you file?
- Prepare the Certificate of Organization from the state's form list.
- Sign it and save a PDF. The state warns that you must have a signed PDF to upload to eDelivery.
- File through the Document eDelivery portal and pay $100, or mail or deliver the paper form with $110.
Payment can be made by credit card for online fees. The state says filed documents usually appear online within 3 business days.
What comes after approval?
Draft an operating agreement, apply for an EIN with how to get an EIN, and open a bank account. The state notes that there is no general business license, so check local and federal needs for your trade.
What does the LLC owe over time?
LLCs file a biennial report in odd-numbered years by April 1. The delinquency date is June 16, and after it the state will administratively dissolve the company. Reinstatement is $30, and a late reinstatement application is $500. Keep the registered agent details current so the notice reaches you. Compare other states on annual report deadlines.
What is unusual in Nebraska?
The two-year report cycle is the difference to plan around, along with the proof of publication filing on the fee list. Nearby, South Dakota, Iowa and Missouri each set their own fees and report rules. People outside the state can read LLC for non-residents.
