The Florida filing fee for a new LLC is $125. Sunbiz splits it into a $100 filing fee and a $25 registered agent fee, and both are required. The recurring state cost is the $138.75 annual report, due by May 1 each year.

Those two numbers are the Division of Corporations side of the cost. Our Florida business entity search guide covers how to look up Florida records on Sunbiz.

First year and each year after

From the Division of Corporations LLC fee page and its annual report page:

What Timing Fee
Filing fee for Articles of Organization Once $100
Registered agent fee, required Once, with the articles $25
Total to form $125
Annual report, including supplemental fee Each year, by May 1 $138.75
Annual report received after May 1 If late $538.75
Name reservation, optional Before forming $25 for 120 days
Certificate of Status, optional On request $5
Certified copy of record, optional On request $30
Expedited filing Not offered None

Put simply, the first bill is $125 and the steady yearly bill is $138.75. Only lateness or extras change that.

The registered agent fee is a state fee

People sometimes read the $25 as a charge from a private agent. It is not. It is a line on the state's own fee page, labelled "Registered Agent Fee (Required)", and it comes with every new Florida or foreign LLC filing. It is separate from anything you might pay a private company to act as your agent. Source: LLC fee page.

You still need an actual agent: a Florida resident or an entity allowed to act as one. A person inside the business can serve. The LLC itself cannot.

Registering an LLC from another state

A foreign LLC pays the same $125 total as a new Florida LLC: the $100 filing fee and the $25 registered agent fee. It then owes the $138.75 annual report each year (LLC fee page). See our foreign LLC registration guide for when an out of state LLC needs to register.

What the state total does not include

  • A paid registered agent service, if you do not name a person in Florida. That price is set privately.
  • An attorney or accountant, if you choose to use one.
  • An EIN, which costs nothing. The IRS EIN page says "You never have to pay a fee for an EIN." Our EIN for an LLC page explains when you need one.
  • County or city business tax receipts and licences, which are local.

The May 1 rule and other things that raise the bill

The single biggest jump in Florida is the late fee. The annual report page says the payment must be "postmarked and mailed on or before May 1 to avoid a late fee." Miss it and the report costs $538.75 instead of $138.75 (LLC fee page). The annual report deadlines tool lists this date with the other states.

An LLC that falls far enough behind can end up dissolved. Coming back then costs a $100 reinstatement fee plus the annual report fee for each year missed, so a long gap adds up fast.

Smaller changes cost money too. Changing your registered agent later is a $25 filing. Both fees are on the LLC fee page.

Questions people ask

Why is the Florida LLC fee $125 and not $100?

The Division of Corporations charges a $100 filing fee and a separate $25 registered agent fee on every new LLC. Both are required, so the total you pay to form is $125.

How much is the Florida LLC annual report?

The annual report costs $138.75 for an LLC, including the supplemental fee. It must be filed or postmarked on or before May 1 to avoid the late fee.

What is the Florida annual report late fee?

A report received after May 1 costs $538.75, because the state adds a $400 late fee to the $138.75 report fee. The $400 late fee applies to LLCs and other for-profit entities, not to nonprofits.

Can I pay to speed up a Florida LLC filing?

No. The Division of Corporations says it does not offer expedited services.

Does a foreign LLC pay more to register in Florida?

No. The total fee for a new foreign LLC is $125, the same as for a new Florida LLC, and it then files the same $138.75 annual report.
