The fee to form a Georgia LLC is $110: a $100 state fee for the Articles of Organization and a $10 service charge. After that you pay $60 a year for the annual registration, filed between January 1 and April 1.
Georgia's fee schedule adds that $10 service charge to most filings, so the totals below include it. For finding Georgia companies, see the Georgia business entity search guide.
First year and each year after
All figures are from the Secretary of State Corporations Division filing fee schedule, with the filing window from georgia.gov:
| Filing | Fee plus service charge | Total | When |
|---|---|---|---|
| Articles of Organization | $100 + $10 | $110 | Once |
| Annual registration | $50 + $10 | $60 | Every year, January 1 to April 1 |
| Late annual registration penalty | $25 | $25 | Only if late |
| 30 day name reservation, optional | $25 + $10 | $35 | Before forming, not renewable |
| Certificate of Existence, optional | $10 + $10 | $20 | When asked for proof of good standing |
| Two business day expedite, optional | $120 | With a filing | |
| Same day expedite, optional | $275 | With a filing | |
| One hour expedite, optional | $1,200 | With a filing |
Without extras, a Georgia LLC costs $110 to start and $60 a year to keep. Over five annual registrations, that adds up to $410 in state fees.
Older numbers you may find
Some Georgia pages still show $100 for an online LLC filing and $25 for an online name reservation. The current filing fee schedule adds the $10 service charge to online filings too, which gives $110 and $35. Its expedite prices are also higher than older lists that show $100, $250 and $1,000. Go by the fee schedule.
Out of state LLCs registering in Georgia
A foreign LLC files for a Certificate of Authority to Transact Business in Georgia. The fee is $225 plus the $10 service charge, so $235. It then owes the same $60 annual registration each year. Things not in the state total
- A registered agent. Georgia needs one at a Georgia street address, and a post office box will not do. The LLC cannot be its own agent. A member in Georgia can serve, or you can hire a service at a private price.
- An attorney or accountant, only if you want one.
- An EIN, which is free. The IRS writes "You never have to pay a fee for an EIN" on its EIN page. See EIN for an LLC.
- Trade name filings and local licences. Trade names are registered with the clerk of superior court in your county, not the Secretary of State.
How lateness turns $60 into much more
The direct penalty is small, $25. The bigger risk follows. If the registration stays unfiled, the state can start administrative dissolution. The Division's business FAQ says you may still complete the annual registration within 60 days of the Notice of Administrative Dissolution.
After dissolution, the way back is an Application for Reinstatement at $260, possible within 5 years of the dissolution. At that point a missed $60 filing has become a cost of several hundred dollars. The penalty and reinstatement fees are on the filing fee schedule.
Speed can also raise the first bill. Picking one hour review adds $1,200 to a $110 filing. Normal online processing takes 7 to 10 business days, and paper filings take 15 business days. Sources: filing fee schedule and business FAQ.
