Arizona's filing fee for a new LLC is $50, paid to the Arizona Corporation Commission (ACC) with the Articles of Organization. The recurring state cost at the ACC is zero: Arizona LLCs do not file an annual report.
That makes the first filing most of what the ACC charges. The open question for some owners is newspaper publication, covered below. To look up Arizona businesses, see our Arizona business entity search guide.
First year and each year after
Fees come from the ACC LLC fee schedule and its business services FAQ.
| Item | Regular | Expedited | When |
|---|---|---|---|
| Articles of Organization | $50 | $85 | Once |
| Annual report | Not required for LLCs | Never | |
| Publication | Only if the ACC tells you | After approval | |
| Application to Reserve LLC Name, optional | $10 | $45 | Before forming, 120 days, not renewable |
| Certificate of Good Standing, optional | $10 | $45, produced instantly | On request |
Beyond regular and expedited processing, the ACC offers accelerated options: next day $100, same day $200 and 2-hour $400 (business services FAQ).
For an LLC with no publication requirement, the state cost is $50 in year one and nothing at the ACC in the years after.
The publication rule
The ACC FAQ says "certain documents must be published in a newspaper of general circulation or posted to the A.C.C.'s database." Which applies "typically depends on the county where the business or statutory agent are located." You do not have to guess: after your filing is approved, the ACC "will inform you by letter if your document is required to be published."
If you are told to publish in a newspaper, the paper sets the price. We do not list those prices.
Foreign LLCs
An LLC formed in another state files a Foreign Registration Statement for $150, or $185 expedited, as the ACC LLC fee schedule shows. There is no LLC annual report afterwards. See foreign LLC registration for when an outside LLC must register in Arizona.
What sits outside the ACC fees
- Statutory agent. "Every corporation and limited liability company is required to appoint and maintain a statutory agent at all times." You can name someone who qualifies, or pay a private agent service. The ACC does not set that price.
- Newspaper publication, if required.
- Lawyer or accountant, if you hire one.
- EIN. The IRS charges no fee. Its EIN page says "You never have to pay a fee for an EIN." See EIN for an LLC.
- Trade names and local licences. The ACC does not register DBAs. Trade names go through the Arizona Secretary of State.
Where an Arizona LLC picks up extra costs
With no annual report, there is no late report fee for LLCs. The thing to watch is your statutory agent. The FAQ is direct: "Failure of a business to maintain a statutory agent will result in the business being administratively dissolved."
Reinstatement has "a reinstatement fee of $100.00, which is in addition to any filings or fees that may be past due." It is only possible if the dissolution happened within the last 6 years. After that, you form a new LLC and pay the formation fee again. Source: ACC business services FAQ.
Speed is the other choice that adds up. Expedited articles cost $35 more than regular ones, and the 2-hour accelerated option is $400. Sources: the ACC LLC fee schedule and business services FAQ.
Use the official site. The ACC has warned that at least one private filing site using an official sounding name is not affiliated with it. Filing through the ACC's own portal means you pay only the state fee. See the ACC notices page.
Compare and add up
See Arizona against every other state in the LLC fees by state table. The LLC cost calculator shows a multi-year total, which in Arizona is mostly the first $50 plus anything you add.
