Wyoming's state cost for a new LLC is $100, the filing fee for Articles of Organization. The recurring cost is the annual license tax, paid with the annual report: $60 or $0.0002 per dollar of Wyoming assets, whichever is greater.
Wyoming has no franchise tax for LLCs at the Secretary of State. The license tax is the yearly charge. To look up existing Wyoming companies, use our Wyoming business entity search guide.
First year and each year after
From the Secretary of State business fee schedule, its business FAQ and the LLC name reservation form:
| Line | Due | Wyoming fee |
|---|---|---|
| Articles of Organization | At formation | $100 |
| Annual report with license tax | Each year, first day of the anniversary month | $60, or $0.0002 per dollar of Wyoming assets if higher |
| LLC name reservation, optional | Before forming | $60 for 120 days |
| Certificate of Good Standing, electronic | Any time | Free online |
| Certificate of Good Standing, signed paper copy | On request | $20 |
A typical small Wyoming LLC therefore pays $100 at the start and $60 each year from the first anniversary on. The license tax only rises above $60 when Wyoming assets pass the point where $0.0002 per dollar beats $60, which works out to $300,000 in Wyoming assets.
When the license tax is more than $60
The business FAQ says the tax is "$60 or two-tenths of one mill on the dollar ($.0002), whichever is greater." It is based on assets located and employed in Wyoming, not on income or on assets held in other states. A holding LLC with property in Wyoming should do the math on its own figures.
Foreign LLC cost
An LLC from another state files for a Certificate of Authority at $150 (business fee schedule). After that it files the annual report and pays the license tax on the same anniversary month basis. See foreign LLC registration for when an outside LLC must register.
Many people form in Wyoming while living somewhere else. If you run the business from your home state, that state may also expect you to register there as a foreign LLC, with its own fees and reports. Our guide to LLCs for non-residents goes into this.
Not in the state total
- Registered agent. Required, with a Wyoming street address where the agent is physically present. A Wyoming resident can serve, or you can pay a private service. That price is not set by the state.
- Lawyer or accountant, if you hire one.
- Federal EIN. Free from the IRS, which says "You never have to pay a fee for an EIN" on its EIN page. Our EIN for an LLC page has the details.
- Licences from your city, county or trade board.
How the cost can grow
Wyoming does not charge a late fee. The risk is dissolution instead. The business FAQ says that if the report "is not filed within sixty (60) days following the due date, the entity will be administratively dissolved." Bringing a dissolved LLC back takes a reinstatement filing, so a missed $60 report can turn into a much bigger job.
Losing your registered agent has the same end. An LLC without one is marked delinquent and can be dissolved, and reinstating an LLC dissolved for that reason costs $350 (business fee schedule).
Filing by mail is slower. Online filings are active at once, while mailed ones can take up to 15 business days.
