In Utah, an LLC is created by filing a certificate of organization. The Division of Corporations and Commercial Code takes the filing, and the fee is $59 on its fee schedule. Its home page offers a "Form a New Business" path that covers LLCs, corporations, partnerships and more.

The filing fee is $59 and the yearly renewal is $18. Our Utah business guide shows how to search records.

Which name will Utah accept?

A Utah LLC name ends with Limited Company, Limited Liability Company, L.C. or L.L.C. It cannot include association, corporation, incorporated or L.P.

The Division's rule is that one key word must differ from names already on file. That follows Utah Code 48-3a-108 for LLCs. Several differences do not count: punctuation, capital letters, plurals, spacing, and the words the, and, a. An ampersand and the word "and" are treated the same. Putting the same key words in a different order does count as different.

Two quirks help when you search. Use the Exact Name option, or Alphabetic if the name starts with initials. For initials, try versions like A.B., A & B and A-B. A name that looks free in a search is not guaranteed. Availability is final only when the Division approves it, and a dissolved entity's name stays held while it can still be reinstated.

To hold a name, the reservation fee is $22. Read our name reservation guide for when that makes sense. For search habits that work anywhere, see how to check LLC name availability.

How do I file in Utah?

You work through the online Business Registration System with a UtahID. If you do not have a UtahID, you create one when you log in. The Division says its newer system uses a step-by-step flow, with a Next button at the bottom right.

  1. Search the name and settle on the ending.
  2. Choose a registered agent. Our Utah registered agent guide covers what the Division's pages show.
  3. Log in with UtahID and pick Formations from the menu.
  4. Complete the steps and pay $59.

The Division says most filings are processed immediately. It asks for 5 to 7 business days when a filing needs manual review. Paper filings, attachments, Utah State Tax Commission reviews and name conflict checks all fall in that group. Expedited processing is $75 per filing, and the Division notes all fees are non-refundable, so check the name before you pay.

What next after approval?

Sign an operating agreement using our template guide, then apply for an EIN. Our EIN guide walks through it.

Later, if a lender or another state wants proof the LLC is in good standing, order a Certificate of Existence. The regular form is $12 and the long form is $20. It is not available for dissolved, expired, revoked or cancelled entities.

What does Utah ask each year?

Every registered entity files an annual report, which Utah also calls a renewal. You log in with UtahID, pick Renewals, and search for your entity by name or number. The fee for an LLC is $18, which includes a $5 portal surcharge. A late renewal adds a $10 fee. The Division lists renewal processing at 7 to 10 business days.

Record statuses in Utah include Current, Delinquent, Dissolved, Expired, Revoked and Cancelled. LLC reinstatement is $54, plus $18 for each missed year and the $10 delinquency fee. Compare dates across states in our annual report deadlines guide.

The pages we read do not publish a Utah due date for the LLC renewal, so check your entity's record for it.

Can I live in another state?

The pages we read mention no residency test for owners. See our LLC for non-residents guide for what to arrange first, including the agent.
