To form an LLC in Nevada, you file articles of organization with the Secretary of State for $75 under NRS 86.561. The filing is not the whole job. Nevada also wants a list of managers or members and a State Business License right away. Our Nevada LLC cost page adds up the fees, so this page walks through the order of steps instead. For record searches, see the Nevada business guide.
What goes into the articles?
NRS 86.161 lists what the articles must set forth. You give the LLC's name, the registered agent details required by NRS 77.310, and the name and address of each organizer who signs. You also name the initial managers, or the initial members if the members manage. If the company will have series of members, or is a restricted LLC, the articles say so.
The articles may carry other provisions for running the company, including terms that would otherwise go in an operating agreement. The same statute says an LLC may, but is not required to, adopt an operating agreement. See our operating agreement page for a free template.
How do you choose a name?
Nevada allows LLC, L.L.C., LC, L.C., Ltd., Limited and Limited Company, among others, as endings. Check the name in the state's entity search before you file. A reservation is $25 and lasts 90 days, and an extra $25 expedites it when you request it in your cover letter. Some words need approval from another regulator first. Our how to check LLC name availability page covers the process.
Who is your registered agent?
Nevada articles name a commercial agent, or a noncommercial agent with a Nevada address. An LLC with a Nevada address may also name an office or position as its agent. Read the Nevada registered agent page before you decide.
What is the filing order?
- Create an account on SilverFlume, the state's business portal.
- File the articles and pay $75. Add expedited service if you need it.
- File the initial list of managers or managing members and pay $150.
- Pay the $200 State Business License with that list.
The initial list and the license are due by the last day of the month after your articles are filed. They must go in together. The State Business License fee is on top of the list fee.
How fast can it be?
The state sells 1, 2 and 24 hour expedited service for most filings at an added price. The Secretary of State also publishes a processing dates page, which shows the current standard turnaround. Check both before you pay.
What do you do after approval?
Get an EIN through how to get an EIN. Open a bank account in the LLC's exact name. Put the ownership rules in writing. If a manager resigns between lists, the resignation filing is $75 under the statute.
What comes every year?
The annual list and the State Business License renewal are due by the last day of the anniversary month of formation. A late list adds a $75 penalty under NRS 86.272, and a late license adds $100. If the filings stay undone, the state may treat the LLC as in default. Compare dates in annual report deadlines.
What is different about Nevada?
The stand-out feature is the license on top of the list: the list is $150 and the State Business License is $200, so yearly costs run higher than the filing fee suggests. Neighbors differ, so look at Oregon, Idaho and Utah. Owners elsewhere can read LLC for non-residents.
