Pennsylvania registered agent

Pennsylvania asks an LLC for a registered office address, not a named registered agent. The address needs street and number, or you can list a Commercial Registered Office Provider by name instead.

Most states make you name a registered agent. Pennsylvania frames it as a registered office. When the Department of State describes what a new LLC filing must contain, it lists an available name, the required ending, a registered office address and the name of each organizer who signs. Our Pennsylvania LLC page shows the whole filing. The Pennsylvania business entity search guide covers how to look up records.

What does a registered office need?

The Business Guide says the address requires street and number. A post office box alone is not acceptable. That is the only address test the guide spells out, so a plain street address in the state is enough on that point. Whoever lives or works at that address will receive the legal papers and notices sent to the LLC, so pick a place that is staffed or checked often.

Because the filing lists an office rather than a person, think about who will actually be there to open the door and sign for papers. Our service of process guide explains why that matters. If you want to handle it yourself, read how to be your own registered agent.

What is a CROP and when would I name one?

A Commercial Registered Office Provider, or CROP, is a business set up to hold the registered office for others. Under 15 Pa.C.S. 109, an entity that must give a registered office address in a Department of State filing may contract with a CROP and list the CROP's name in place of an address.

The Department says the option is also open to any corporation or association that has no physical location or mailing address in Pennsylvania. That covers many out-of-state owners.

Three limits apply:

  • You need a contract. Naming a CROP you have not hired could bring civil and criminal penalties.
  • The CROP must be on the Department's list. Only associations on that list can be named.
  • The listing replaces the address on the filing, so check the name spelling exactly as the list shows it.

We do not recommend or price any provider. The Department publishes the list on its website, and the Bureau can send it on request.

How do I change the registered office?

A change of registered office costs $5, and the fee schedule shows the same $5 for a change of registered office filed by an agent. The fee schedule is on the Department's fees and payments page. Payment is by check or money order made out to the Pennsylvania Department of State. Cash is not accepted, and cards work for expedited services only.

If you switch from a street address to a CROP, or the other way around, treat it as a change to the registered office and check the current form before you send it.

What about an LLC formed in another state?

A foreign LLC registers by filing a Foreign Registration Statement, form DSCB:15-412, with a Docketing Statement. The registration fee for a foreign LLC is $250 on the fee schedule. The same registered office rule applies, so a company with no Pennsylvania presence usually names a CROP. See foreign LLC registration for the general steps.

What if I get the office wrong?

The pages we read do not list a specific penalty for a stale registered office. They do say that missing annual reports can lead to dissolution, and a mistaken CROP listing can carry penalties. Keep the office current and file the $7 annual report by September 30. A lawyer can advise on what a gap in service would mean in your case.

Questions people ask

Does a Pennsylvania LLC need a registered agent?

The Department of State's filing criteria ask for a registered office address, not an agent. You give a street and number in Pennsylvania, or you name a commercial registered office provider in its place.

What is a CROP in Pennsylvania?

It stands for Commercial Registered Office Provider. Under 15 Pa.C.S. 109 an entity can contract with one and list its name instead of an address. Only providers on the Department's list may be named.

Can I use a PO box as my Pennsylvania registered office?

No. The address requires street and number, and the Department says a post office box alone is not acceptable.

How much does it cost to change a Pennsylvania registered office?

A change of registered office costs $5, and the fee schedule lists a change of registered office by an agent at $5 as well.

What happens if I name a CROP I have not hired?

The Department warns that listing a CROP without a contract for its services could subject the filer to civil and criminal penalties.
