Oklahoma has a rule that many states do not. The Secretary of State's LLC procedures sheet says the registered agent shall be the limited liability company itself, an individual resident of Oklahoma, or a domestic or qualified foreign corporation, LLC or limited partnership. So a small Oklahoma LLC with a street address in the state can list itself. For the wider picture of filings and fees, see our Oklahoma business search guide and the Oklahoma LLC page.
Who can be the agent in Oklahoma?
Three kinds of agent are allowed:
- the LLC itself
- an individual who lives in Oklahoma
- a domestic or qualified foreign corporation, LLC or limited partnership
The state's FAQ adds a condition for entities. An entity agent is one that is reflected on the Secretary of State's records and in good standing. If you plan to use another company, look it up first.
The Oklahoma articles of organization has a field for the agent's name and street address, so the choice is made when you form the LLC.
What counts as a valid registered office?
The registered office address must be a street address. A PO box is refused. The FAQ also says it must be a physical address in Oklahoma where the agent can be personally served with process during normal business hours.
Each agent must keep a business office identical to the registered office, open during regular business hours. That is the test to apply before you list your own address. If nobody is there in the daytime, a process server has nobody to hand papers to.
If you want to serve as agent for your own LLC, read how to be your own registered agent. Think about whether you want your address on a public record.
What does the agent actually do?
The agent is responsible for receiving and forwarding service of process or official notices addressed to the entity. A lawsuit is the usual example. Our service of process guide explains what the papers are and why they matter.
The duty is not a one-time thing. Oklahoma says every LLC must continuously maintain a registered agent and registered office in the state. That means a gap, such as an agent who moves away, needs to be fixed by filing a change.
How do I change or resign as the agent?
The fee schedule lists these two filings:
| Filing | Fee |
|---|---|
| Change of Registered Agent and/or Office | $25 |
| Resignation of Registered Agent | $25 |
The same schedule lists a combined filing for a resignation coupled with appointing a successor agent. Check the Oklahoma fee schedule for the current line items and the forms page for the right form.
If an agent resigns, name a new one right away. The pages we read do not list a penalty for a company that has no agent, so we do not guess at one. The duty to keep an agent is stated plainly, and a lawyer can tell you what a gap could mean for your LLC.
How can I look up an Oklahoma LLC's agent?
The Secretary of State says several details are free to see: filing number, entity type, home state, and registered agent name and address. Search the business entity database by name and open the record. Paid copies are separate.
Agent services are a private market, and we do not rank or price them. Our registered agent services overview explains how to compare options without us picking one.
