New Jersey DBA

New Jersey says a dba name is only for out-of-state businesses. A New Jersey LLC registers an alternate name with the state instead, and a sole proprietor or general partnership registers a name at the local clerk's office.

New Jersey handles assumed names differently from most states. The label "dba" is reserved for businesses formed in another state. If you formed your LLC in New Jersey, the state calls the extra name an alternate name. If you run a sole proprietorship or a general partnership, the registration sits with the local clerk.

Who may use the word dba in New Jersey?

Only foreign businesses. The Division of Revenue and Enterprise Services says domestic businesses do not have that option, and that a domestic registration may be rejected when a dba name is used. Foreign businesses that pick a dba cannot file online. They send a paper registration and attach a copy of the corporate resolutions adopting the New Jersey dba. Read the state's business name rules before you file.

The Business.NJ.gov guide adds a case. If the exact name on your home state document is not available here, you need a secondary name for New Jersey, and you register it when you form your business here. See our LLC name search guide to test the name first.

What does a New Jersey LLC do for a trade name?

Form the LLC first. Once it is established, it may legally do business under an alternate name after that name is registered. The state's example is a food company that registers a second name to put on its storefront.

The fee schedule lists alternate name registration at $50 for corporations and limited partnerships. It does not print an LLC amount in the lines we read. Treat $50 as a guide only and check the current schedule at the Division of Revenue and Enterprise Services.

For the formation step itself, see our New Jersey LLC guide. A DBA does not replace the LLC, and our DBA vs LLC comparison explains why.

What does a sole proprietor or partnership do?

Register at the local clerk's office. The Business.NJ.gov names page says a sole proprietor or general partnership that does not want to use a personal name as the business name can register one there. The state's registration guide says only an LLC, corporation, LP or LLP forms an entity with the Treasury. A sole owner has no entity filing to make at the state.

Which clerk and what it costs are set locally. We did not read a county page, so call or visit the clerk where you do business.

How do you look up a New Jersey business name?

Use the state's business records tools for entities, linked from the Division of Revenue and Enterprise Services. Spacing and punctuation change results, so type the name exactly. The state's data listings include alternate names as an associated name type, so a registered alternate name is part of the entity's record.

Names that a sole proprietor files with a clerk are county records. We found no statewide index for them. Our DBA search guide shows how to search county records in general.

What should you do before you file?

  1. Decide who the owner is: an LLC, a corporation, or you personally.
  2. Check the name against existing entities. A filing under a name already in use is denied.
  3. Pick the route. LLC: alternate name with the state. Sole owner: the local clerk.
  4. Keep the paperwork with your formation documents.

Our how to file a DBA page covers the general steps. The New Jersey hub has the entity search and annual report details.

What this page does not cover

It does not give the clerk's fee, the LLC alternate name fee, or any renewal rule, because we did not find them on a page we could read. It does not cover trademarks, which protect a name differently. It is general information, not legal advice. For licenses and tax registration after you pick a name, see New Jersey business license.

Good to know

Questions people ask

Can a New Jersey LLC use a dba?

Not under that label. The state says only foreign businesses may use a dba, and domestic businesses do not have the option. A domestic LLC that wants a storefront name registers an alternate name after it is formed.

Where does a sole proprietor register a business name in New Jersey?

At the local clerk's office. The state's business site says sole proprietors and general partnerships who do not want to use their personal name can register a business name there.

How much does an alternate name cost?

The state fee schedule lists alternate name registration at $50 for corporations and limited partnerships. The pages we read do not print a separate figure for an LLC, so confirm the amount on the filing before you pay.

Is there one New Jersey search for every business name?

The state runs a business records search for entities it holds. Names that sole proprietors register at the clerk are held in local records, and we did not find a statewide index of them.

Why was my out-of-state company's name not accepted?

If the exact name on your home state formation document is taken in New Jersey, the state says you need a secondary dba name for New Jersey. You register it when you apply to do business here.
