A Mississippi LLC exists once the Secretary of State files your Certificate of Formation. The state's fee schedule calls it form F0100 and prices it at $50. Everything else on this page is what you decide before that filing and what you keep up afterwards. Our Mississippi business guide covers the company search.
What do you file, and what does it cost?
You file one document, the Certificate of Formation, with the Mississippi Secretary of State. The fee schedule shows $50 for form F0100. Under § 79-29-201 of the LLC Act, the certificate must give the company name and the registered office and agent. It can also name a dissolution date if you want one. The LLC exists from the date and time of filing, or from a later date you set, which may not be more than 90 days out.
First-year state cost: $50 for the certificate plus $0 for the LLC annual report. That figure leaves out a name reservation, copies and any local license.
Which name will Mississippi accept?
The name must end with Limited Liability Company, L.L.C. or LLC. It also has to be distinguishable from other names on the Secretary of State's records, a test set by Miss. Code 79-29-109. Words such as bank, trust, insurance and corporation are restricted for LLC names.
Search first with our Mississippi state guide and the steps in how to check LLC name availability. If you cannot file yet, a reservation costs $25 and holds the name for 180 days. See name reservation for how reservations work in general.
Who can be your registered agent?
The LLC Act says the agent must be an individual resident of Mississippi, or a company authorized to do business in the state. The agent's business office has to match the registered office. Read the Mississippi registered agent page for the rules, or be your own registered agent if you live in the state.
How do you file online?
Use the state's business filing portal. Register with your name, business address and email, then choose the Certificate of Formation. The state FAQ says online filings are reviewed within 24 hours, and that you get an email when something is filed. Paper takes much longer.
Social Security numbers are never requested on state forms, and phone numbers and FEINs are redacted from online forms.
What should you do after approval?
- Write an operating agreement. The LLC Act says an LLC is not required to execute one, and you do not send it to the state. A written one still settles who decides what.
- Get an EIN. The steps are in how to get an EIN.
- Open a business bank account in the exact name on the certificate.
- Note your Business ID from the state record. You need it to file the annual report.
What does a Mississippi LLC do each year?
File the annual report online. It opens on January 1 and is due April 15. For a Mississippi LLC the state fee is $0, which is unusual. A foreign LLC pays $250 for the same report.
There is no stated late fee. The risk is dissolution. The LLC Act lists a report not delivered within 60 days after it is due as a ground for administrative dissolution, and reinstatement costs $50. Compare other dates on the annual report deadlines page.
Is Mississippi different from its neighbours?
Mostly on cost. A $50 filing fee and a free LLC report are low, and Tennessee, Alabama and Louisiana each set their own fees and report rules, so compare before you pick. Owners who live elsewhere can still form here if they name a Mississippi agent. See LLC for non-residents.
