On the Secretary of State's LLC forms and fees page, Notice of Change of Registered Agent for LLC (DO-03) shows No Fee online and No Fee on paper, so there is no state cost to fix a stale agent. Our Arkansas LLC guide explains the full formation.
What must the address look like?
The state's business services FAQ answers this in a question about corporations, and we found no separate LLC wording. The agent's address must be a street address in Arkansas. The agent must be located at that address. A post office box or a mail drop may not be used.
That second sentence is the one that matters most. An address where nobody is present during the day will not do the job.
What does the agent do?
The agent is the person or entity designated to receive any service of legal action or other official communication on the company's behalf. The state calls the agent the mailbox for the entity. The agent may or may not be an owner or an officer. Many companies use their attorney or a professional service.
If you are the owner and you live in Arkansas, you can take the role yourself. Read being your own registered agent for the trade offs. Owners who live elsewhere need someone in Arkansas. See the registered agent services overview.
How do you change the agent?
Use form DO-03. File it online or print the PDF and send it in. The state's LLC table also lists a notice of change of principal office address for LLCs, with no fee online or on paper.
The yearly LLC franchise tax report also shows the registered agent on file, with name and address, and the form says sections 3 to 5 are all required. The report is due on or before May 1.
Take care with unpaid tax. The franchise tax page says additional filings with the Business and Commercial Services office are prohibited for people or entities that fail to pay the franchise tax. Check your tax status before you count on a change going through.
Hiring a commercial agent
Arkansas has a separate category for commercial registered agents. The Secretary of State describes them as individuals or entities in the business of providing registered agent services. They are created by filing a Commercial Registered Agent Listing and are governed by the Model Registered Agents Act. We do not rate or name any. Compare the idea with owning the role in our guide to service of process.
How do you see who the agent is?
Search the entity on the state's Corporation Entity Search at Arkansas.gov. It may ask you to type text from an image first. The record shows the agent and the registered office address. If you need agents in volume, the state's bulk download service gives CSV and XML files that you can filter by type, status and agent. Our registered agent lookup guide walks through reading a record, and the Arkansas guide covers the search tool itself. Only addresses are on file, not phone numbers.
Entities that are not required to register
An entity that does not have to file or register to do business in the state may file a Nonfiling or Nonqualifying Entity Statement. The Secretary of State says this lets it keep registered agent and service of process details on file anyway. It is a niche filing, and an LLC you formed in Arkansas does not need it.
Companies formed elsewhere
A company from another state that registers in Arkansas also needs a registered agent. The foreign LLC fee is $300 on paper or $270 online. See foreign LLC registration.
